Terms of Service (TOS)

SongRamp's Mission is to create a thriving, productive environment that encourages an atmosphere of community, respect, collaboration, and growth for anyone involved with independent music. The Community's Administrators, Moderators and Board of Directors have created the following Terms of Service agreement that governs members' participation and practices within SongRamp. As a member/user of SongRamp, it is your responsibility to know, and adhere to the Terms of Service.

Member/UserNames/IDs

We ask that your username be one that does not contain profanity, obscene language or any member name calling, we will delete those accounts and ask you to choose another username.

Member/Accounts

One account is allowed per person; a member may not have multiple free accounts, or a combination of free accounts and a paid membership account. In the event a member requests their account/membership to be deleted, SongRamp has the right to maintain certain information throughout the site such as areas that are considered community participation, purchasing information, forum posts, blog posts on other members' blogs, open mic reviews, photo gallery comments, etc. Members will have their open mic songs, homepage content, and personal blog removed.

Inactive Accounts - Accounts are considered Inactive when the member has not logged in for a period of 12 months. SongRamp will periodically identify all Inactive Accounts and will delete the songs associated with those accounts. Accounts that are deemed to be created for the sole purpose of advertising or spamming may be deleted without warning or notification at the discretion of SongRamp.

Member/User Conduct

Members and users are expected to conduct themselves in a manner that is constructive and respectful of others at all times. Additionally, we would hope that each member/user would do their best to facilitate a culture of collaboration and positive reinforcement, so that we can all share our passion for music while realizing our personal ambitions, and developing friendships. Blogs: Blogs are provided with the intention of being a place to talk about what is happening in your life, business, family, friends, etc. Please remember that the Terms of Service also applies to blog material and comments on blogs. Members/Users will not use this community for: Any practices that affect the normal operations of the community (Admins will take whatever steps are necessary to restore service). Transmitting any libelous, defamatory, or any other material that could give rise to any civil or criminal liability under the law. Personal attacks. This includes but is not limited to, destructive, abusive, defamatory communications in any form, and retaliatory attacks from personal attacks. If you need assistance, please communicate with someone from our SongRamp Team.

Destructive commentary/communications made with the intent to disrupt or attack (Trolling)

This applies to any communications within this community, whether in the forums, Open Mic, chat, blogs or Site Mail. Advertising or linking to any publications and/or web sites that are age restricted due to content and/or pornographic in nature. Members/Users found practicing these behaviors receive: Deletion of the post(s). First event - warning by email and/or Site Mail. Second event - Temporary Community ban for 7 days Third event - Membership revoked, and access to the community permanently blocked. This includes any duplicate accounts for the same person. SongRamp considers this information private and confidential. However, there may be certain situations that necessitate otherwise. Any post, image or writings can be removed at the discretion of staff if it is deemed unsuitable for this community. SongRamp reserves the right to revoke any Membership at any time.

Conduct - Zero Tolerance

SongRamp maintains a Zero Tolerance on certain behaviors within the community. These include, but are not limited to the following: Any threats of physical harm, property damage or acts of violence toward another individual, or group of individuals. Fraudulent use of credit cards or refusing to pay for items received from The Store.

Soliciting or Trading of any products illegally

This includes, but is not limited to, requests and/or distribution of music files. Intentional practices that affect the normal operations of the community (Admins will take whatever steps are necessary to restore service). Members/Users found practicing these behaviors will immediately have their membership revoked, and access from any and all accounts, including duplicate accounts for the same person will be permanently blocked from the community.

SongRamp considers this information private and confidential. However, there may be certain situations that necessitate otherwise. The proper legal authorities will be contacted, and if appropriate, charges may be filed.

Intellectual Property Copyright Policy

SongRamp members remain the original copyright holder in all materials provided on the community. Use of the material inconsistent with the terms and conditions set forth is prohibited and considered an infringement of the copyrights of the respective holders unless specially stated otherwise. Members are not to post non-original works to which they do not hold the copyright or which they have not cleared with the copyright holder. If the member has permission from the copyright holder to use their works, please provide a copy of the signed permission granted by the copyright holder. Please email a scanned image of the signed document (or forward the document itself if you have it in email form) to admin@songramp.com. Please include your name, SongRamp member name, title of the song you are wanting to upload, and any additional information to help us understand. Documentation should be provided to SongRamp and approved prior to uploading ANY music where the copyright holder is someone other than the member uploading the content.

Uploading music/songs to Open Mic on SongRamp

TERMS: By uploading music to the SongRamp site, you acknowledge that you are the original creator and/or the copyright holder of this work and that you grant SongRamp a non-exclusive license to make this work available to SongRamp members and / or for use in promotional activities benefitting SongRamp, such as broadcast on SongRampRadio (our streaming internet radio channel).

Uploads to Open Mic are limited to: 1 song per day for free member (limit 5 songs in total) 5 songs per day for Basic members Unlimited songs per day for Owners Duplicate postings of the same song are allowed on a limited basis.

Open Mic posts/reposts: Regarding posting-reposting of the same song. If a member posts a song on the Open Mic then wants to repost a newer (or for that matter older) version of the song, then EDIT should be used. Simply click on Edit from The My Songs link on Open Mic and browse to the targeted version to upload. Your current comments and stats remain untouched. You are certainly free to advise people of the newer mix in the body of the text on the song’s page. There is no waiting period when using EDIT but the song does post as the most recent Open Mic offering. Songs should not be posted repeatedly. If it is necessary to repost a previously posted song and the EDIT function cannot be used, reposts of the same song should be limited to TWO with a 90 day waiting period between each reposting. It is okay for co-writers to have the same song posted on each of their pages, provided they are not posted on the Open Mic at the same time. Please communicate with your co-writers and wait two days between posts. Co-writers may post different versions (as defined below) simultaneously on their separate pages.

Different versions, same song: It is ok for a member to have the same song on their page more than once as long as the versions of the songs are different. When in doubt, this is open for judgment by Admin as to whether the versions are different enough... also folks let's not get carried away by redoing every song on your play list twice. Thank you. : ) Example: If you changed only a few words, or added another instrument to the mix, then no. The newer (or older) version should be posted using the EDIT command instead of a separate post as explained above. On the other hand, if you have an unplugged version [just a guitar/vocal or piano/vocal version] AND a full blown arrangement of the same song then yes, you may post both versions on your page. If you have a different vocalist sing the song, then yes. Just do NOT post on the open mic at the same time. A couple days should be sufficient.

No cover songs of any kind are permitted unless you can provide the license for it.

No traditional, public domain, clips, samples, song combining or songs with commercials in them are allowed. Appropriately noted parodies may be allowed, at the discretion of the Administrators.

The Open Mic area is for completed works only. Please use your Private Listening Room for works in progress, or use the Artists Forum to post links or mp3s to unfinished works. The Open Mic area is for 'finished' songs only. Please use the Writers Room or your own Private Listening Room for 'unfinished' songs or 'works in progress.' We understand the term 'Finished' may be subjective, and we'll be fair when enforcing this item.

Explicit Content: Songs with explicit content are not allowed in the Open Mic. We are a family-friendly site. You may post them in your PLR. Removal will be at the SOLE DISCRETION of ADMINISTRATORS and MODERATORS.

Communications: SongRamp provides a variety of communication services to members. These include: forums, open mic, site mail, homepages, blogs, and ability to email members. Any information provided by members using these services is considered public information and may be logged. SongRamp will not be held responsible and/or liable for information that members choose to share via these services. We strongly recommend that members exercise forethought and caution prior to disclosing any personal information while using these services. Spamming members via any of these devices is prohibited. If you have a service you want to promote, please do so in the Product Showcase Forum where members can choose to review your services if they are interested. Products or services promoted anywhere on the site or links to such, including but not limited to forums, homepages, site mail, blogs or signature sections of member forum options, may be deleted at the discretion of SongRamp with no warning or notification.

By visiting the SongRamp website, you agree that the laws of the State of New Hampshire, without regard to principles of conflicts of laws, will govern the Terms of Service and a dispute of any type that may arise between you and SongRamp in connection with your use of the website. In addition, you agree that any legal action that may arise between you and SongRamp in connection with your use of the website shall be brought exclusively in the Superior Court for Rockingham County, New Hampshire or the United States District Court in Concord, New Hampshire, to which you submit to the exclusive jurisdiction and venue thereof. You further agree that in the event litigation ensues over the Terms of Service and your use of the website, the prevailing party in any such litigation shall be entitled to recover all costs and expenses, including, but not limited to, reasonable attorney's fees, court costs and attendant expenses, from the non-prevailing party.
